Terms & Conditions
These Terms & Conditions ("Terms") govern access to and use of the CollectEsign application and related services (the "Service") provided by CollectEsign (a product of Nur Behavioral Health). By using the Service you agree to these Terms.
1. The Service
CollectEsign is an electronic-signature platform: upload a PDF, place fields, and send it to one or more recipients to collect legally-binding signatures, with sequential signing, attachments, and tamper-evident sealing of the completed document.
2. Electronic signatures & consent
Signatures collected through the Service are intended to be legally binding under the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA). Before signing, each signer affirmatively consents to do business electronically. The sender is responsible for ensuring a document and its signers are appropriate for electronic signature in their jurisdiction and use case.
3. Accounts & eligibility
Account access is for authorized members of a subscribing organization. You are responsible for maintaining the confidentiality of your credentials, enabling multi-factor authentication, and all activity under your account. Notify us promptly of any unauthorized use.
4. Acceptable use
- Use the Service only for lawful purposes and only with documents and recipients you are authorized to send.
- Do not attempt to access data outside your organization, probe or breach security, or disrupt the Service.
- Do not upload malware, forge signatures, or use the Service to violate the rights of others.
5. Customer data
Your organization owns the documents and data it uploads. Where a document contains PHI, our handling is governed by a signed Business Associate Agreement (BAA), which controls in the event of any conflict with these Terms regarding PHI.
6. Third-party services
The Service runs on third-party infrastructure (e.g., Amazon Web Services). Your use of any service you integrate or link is subject to its own terms; we are not responsible for third-party services.
7. Intellectual property
The Service, including its software and design, is owned by CollectEsign (a product of Nur Behavioral Health) and its licensors. These Terms grant a limited, non-exclusive, non-transferable right to use the Service during your subscription.
8. Disclaimers
The Service is provided "as is" without warranties of any kind. CollectEsign is a document-signing and workflow tool and does not provide legal advice; whether a given electronic signature is valid and enforceable for your purpose is your responsibility and that of your counsel.
9. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, and our total liability is limited as set out in your subscription agreement.
10. Indemnification
You agree to indemnify us against claims arising from your misuse of the Service or violation of these Terms or applicable law.
11. Termination
Either party may terminate as provided in the subscription agreement. On termination your right to use the Service ends; data handling follows the agreement and, where applicable, the BAA.
12. Governing law & changes
These Terms are governed by the laws of Florida. We may update these Terms; continued use after changes constitutes acceptance. Contact: info@collectesign.com.
